The Leprosy Mission International – Ethiopia (TLMIE)
Location: Addis Ababa, Ethiopia – Mekanissa Kore
Type of Contract: Short-Term Consultancy
Expected Assignment Period: Approximately 8–10 weeks

About TLMIE
The Leprosy Mission International – Ethiopia (TLMIE) is a Christian organization committed to achieving Zero Leprosy, reducing disability, promoting disability inclusion, and restoring dignity to persons affected by leprosy and other marginalized communities. TLMIE works in close partnership with government institutions, civil society organizations, organizations of persons with disabilities, research institutions, communities and other development partners across Ethiopia.
As part of its long-term sustainability and localization strategy, TLMIE is considering a possible transition from its current International Non-Governmental Organization (INGO) model to a locally registered Ethiopian organization. TLMIE therefore seeks to engage an independent, qualified multidisciplinary consultant, consulting firm or consortium to assess the strategic rationale, feasibility, organizational readiness, risks, opportunities and potential pathways for such a transition
Purpose of the Consultancy
The consultancy will provide an independent and evidence-based assessment to support informed decision-making by TLMIE and The Leprosy Mission International (TLMI) leadership and governance bodies.
The assessment will consider viable organizational options and their implications for legal and regulatory compliance, governance, financial sustainability, donor eligibility and funding continuity, assets and liabilities, contracts and grants, human resources, programs, partnerships, safeguarding, MEAL, systems, data and business continuity.
The assessment will not predetermine that a transition should take place. The consultant will independently assess whether transition is feasible and appropriate, the conditions required for success, alternative options, and the risks and resources involved.
Key Areas of the Assignment
The selected consultant/team will be expected to:
- Assess the strategic rationale, feasibility and organizational readiness for a potential INGO-to-Local NGO transition and compare viable organizational models and pathways.
- Review relevant Ethiopian legal, regulatory, tax and governance requirements, including implications for the future institutional relationship between TLMIE and TLMI.
- Assess implications for assets, liabilities, contracts, grants, intellectual property, donor eligibility, funding continuity and financial sustainability.
- Assess HR and employment, organizational capacity, programs, partnerships, safeguarding, MEAL, information systems, data and business continuity implications.
- Benchmark relevant INGO-to-Local NGO transitions, localization experiences and good practices.
- Develop an integrated risk register, transition-readiness framework, decision gates and, where warranted, a practical and costed transition roadmap.
- Present and validate findings with TLMIE and TLMI leadership and relevant stakeholders while maintaining independent professional judgment.
Expected Deliverables
Key deliverables will include:
- Inception report, methodology, analytical framework and work plan.
- Strategic Options, Feasibility and Readiness Assessment.
- Legal, Governance, Asset/Liability, Donor/Financial and HR Due-Diligence Assessment.
- Program, Partnership, Safeguarding and Business-Continuity Assessment.
- Integrated Risk Register, Readiness Framework/Scorecard and Decision-Gate Framework.
- Costed transition roadmap, where transition is considered feasible and appropriate.
- Final integrated assessment and Executive Decision Paper, including presentation of key findings to TLMIE/TLMI leadership and relevant governance bodies.
